O lançamento de uma OPA faz frequentemente surgir um foco de tensão entre o conselho de administração e os sócios da sociedade visada. O artigo 182.º, n.º 1 do CVM, procura regular esses conflitos de interesses, adstringindo o conselho de administração da sociedade visada a um dever de neutralidade (passivity rule), o qual proíbe os administradores de praticar certos atos de gestão, salvo se autorizados pela assembleia geral.
Partindo da análise do dever de neutralidade, e, em particular da sua extensão e da sua teleologia, este estudo analisa a extensão da competência da assembleia geral para autorizar a prática daqueles atos e as vicissitudes a que podem ser sujeitas. Analisa-se, v.g., as diversas exigências a que as deliberações de autorização estão sujeitas, bem como os problemas relativos às inibições de voto por conflito de interesses e à vinculação dos administradores às deliberações da assembleia geral.
