Il volume si propone di analizzare nella sua complessità il fenomeno dello scioglimento volontario delle società di persone e le implicazioni che l’avvio della fase liquidatoria, come tale prodromica all’estinzione, porta con riferimento alle possibilità operative e imprenditoriali dell’ente collettivo, come anche dei soci e dei liquidatori stessi.
In tale prospettiva, il lavoro procede, anzitutto, all’analisi dell’istituto liquidatorio in generale, nelle varie declinazioni che assume nell’ordinamento, sia nel contesto societario che fuori, e alla verifica della presenza di limiti di azione connaturati con la sua stessa natura o con le modifiche eventualmente imposte all’assetto degli interessi coinvolti, con particolare riguardo al rapporto fra soci e creditori sociali. Nella seconda parte, invece, la ricerca si concentra sulle regole legali che, nella delicata fase in discussione, rimodulano i poteri dei gestori, disponendo, per gli amministratori, il limite degli “affari urgenti” (art. 2274 c.c.) e, per i liquidatori, quello della “necessarietà” degli atti per la liquidazione (art. 2278 c.c.) e del “divieto di nuove operazioni” (art. 2279 c.c.).
